Register of members in Cyprus: the index over 50 members and inspection (s.106, s.108)
Over 50 members a Cyprus company keeps an index of its register, updated within 14 days (s.106); copies of the register within 10 days (s.108).
Two rules in Cap. 113 govern how the register of members is used once it is kept: an index for the larger companies (section 106) and a right to inspect it and obtain copies (section 108). Both turn on short, countable times.
The index: more than fifty members
A company with more than fifty members must keep an index of the names of its members, unless the register is itself in the form of an index (section 106). Whenever the register is altered, the company must make any necessary alteration in the index within fourteen days.
The register also has to be right before the index can be. See what section 105 requires in the register.
Worked example
A company has 56 members. On 3 November 2026 a member transfers all their shares and the transfer is entered in the register.
| Step | Date |
|---|---|
| Register altered: the member ceases to be a member, the transferee is entered | 3 November 2026 |
| Index altered | by 17 November 2026 |
| HE57 notice of the transfer to the Registrar, 14 days from the entry (s.113A) | 17 November 2026 |
The index and the HE57 both run for 14 days from the same entry, but they are different obligations: one is an internal record, the other a filing with the Registrar.
An index may be kept electronically. Section 371 allows a register or index to be kept other than in a bound book, provided adequate precautions are taken against falsification and to facilitate its discovery.
Inspection
The register and the index are open to inspection (section 108):
- by a member, free of charge,
- by any other person, on payment of EUR 0.3416 per inspection (the amount in the Law's 2014 translation),
- during business hours, and for not less than two hours a day.
Copies: ten days
A person may ask for a copy of the register, or of any part of it. The charge is EUR 0.0854 per hundred words, and the company must send the copy within ten days beginning with the day next after the day the request was received (section 108).
Worked example
A request for a copy arrives on 10 November 2026. The first day is 11 November, so the copy must be sent by 20 November 2026.
A company that refuses carries a fine of up to EUR 42, plus a default fine of EUR 42, and the court may order the company to comply.
What this means in practice
Three habits keep a company on the right side of both sections:
- keep the register as a record of dated entries, so a copy at any date can be produced,
- note the date each request arrives, because the ten days run from the next day,
- if the company grows beyond fifty members, create the index at once and record the date of each change.
Ekvi can produce a register extract at a given date from the ledger. It does not keep a statutory index or process inspection requests. To put a deadline in your calendar, with reminders a week and a day before, use the deadline calendar.
