Terms of service
Plain language. These terms apply when you use Ekvi at ekvi.app.
1. Who we are
Ekvi is operated by TRAININ SIA, Reg. No. 40203233934, Ventspils iela 27-5, Riga, LV-1002, Latvia ("we"). You can reach us through the contact form.
2. What the service is
Ekvi is an online service for keeping the Register of Members, option plans, filing deadlines and related records of companies incorporated in Cyprus under the Companies Law, Cap. 113. It records what you enter as dated events and works out the register and other figures from them.
Ekvi is a record-keeping tool. It is not legal or tax advice and does not create an adviser-client relationship. Ekvi does not file anything with the Registrar of Companies or any other authority; it tells you what it calculates is due, and you file.
The Cyprus rules Ekvi applies were prepared by Ekvi from primary sources and accepted by Ekvi's owner; their review by a Cyprus corporate secretary is under way. Each rule shows its source, the date it was read and its status in the product. The company, its directors and its secretary remain responsible for the company's statutory registers and filings. Check anything that matters against the source and, where needed, with a qualified adviser.
3. Your account
You sign in with your email and a password, or with Google. Keep your sign-in details to yourself; you are responsible for what is done through your account. Tell us at once through the contact form if you think someone else has used it. The person who creates a company in Ekvi is its administrator and decides who else may see or change it.
4. Your data
The records you enter about a company (its holders, shares, options, documents) belong to you or to the company. For personal data in those records, the company you keep them for is the controller and we process them on its behalf, only to provide the service. A data processing agreement is available on request through the contact form. How we handle personal data is described in the privacy notice.
You can export your records at any time: the register on any date as CSV and PDF, every document in the Data Room, and the full event history of a company through the API.
5. Records are permanent by design
A recorded event is never changed or deleted; a mistake is corrected by a reversing event, so the history stays whole. A real company is archived, not deleted. A demo company can be deleted by its owner at any time. To close your account, ask through the contact form: we disable it and delete your sign-in data, but entries you recorded in a company's ledger remain part of that company's history, which its administrators and the law may require to be kept.
6. The assistant
Ekvi AI answers questions about one company's records. When you ask it something, your question and the records it reads to answer are sent to the model provider the installation uses (on ekvi.app, Google Gemini). Answers can be wrong: check them against the register and the pages the assistant links to. The assistant never records anything; it can prepare a form for you to check and submit.
7. Fair use
Do not try to reach data of companies you are not a member of, probe or overload the service, or use it for anything unlawful. Do not record data you have no right to process. We may suspend an account that does, and will tell you why.
8. Plans and payment
The demo company is free. Paid plans and prices are shown on the pricing section of the landing page. We do not take payment through the service yet; before any charge you will be shown the plan, the price and the billing terms and asked to agree to them. Prices exclude VAT where applicable.
9. No warranty, limited liability
We take care to keep Ekvi correct and available, but it is provided "as is", without a warranty that it is error-free or uninterrupted. To the extent the law allows, we are not liable for indirect or consequential loss, lost profit, or penalties and costs from late or missed filings, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law, such as for intent or gross negligence.
10. Ending and changes
You may stop using Ekvi at any time. We may change these terms; the date at the top shows the current version, and we will tell account holders by email before a material change takes effect.
11. Law
These terms are governed by the laws of the Republic of Latvia, and disputes go to the courts of Latvia, without prejudice to mandatory protections you have under the law of your own country.
